虽然我国的《公司法》对公司治理结构作了较为全面的规定,但由于受到各种制约因素的影响,《公司法》对公司治理结构的设计还有很多不够完善的地方,再加上民族企业自身的原因,许多民营企业的治理结构还存在着一系列重大的问题及隐患.这些问题和隐患不解决,企业的发展就会受到很大的影响和制约,因此,改革企业治理结构使之适应当代市场经济的发展成为当前众多民营企业所亟待解决的问题.本文通过对当代民营企业的治理结构现状进行研究分析,将民营企业的治理结构问题归结为三个：产权问题、委托-代理问题、利益相关者问题.在理论分析的基础上,借鉴国外公司的治理模式经验,提出一些对中国民营企业公司治理结构的一些改进意见,希望本文能够对我国民营企业治理结构调整的改革有所裨益.
